Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Energy Data Pipeline platform ("Service"), operated by the University of Chicago's Center for Robust Decision-making on Climate and Energy Policy (RDCEP) ("we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

Important: These Terms include provisions that limit our liability and require individual arbitration for any potential disputes.

Eligibility

You must meet the following requirements to use the Service:

  • You must be at least 13 years of age
  • You must be authorized to use the Service by the University of Chicago or an affiliated institution
  • You must not be prohibited from using the Service under applicable laws
  • You must provide accurate and complete registration information

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Account Registration and Security

Account Creation

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate and complete
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access or security breach

Account Responsibility

You are responsible for all activities that occur under your account. You agree to:

  • Not share your account credentials with others
  • Not allow others to access your account
  • Take reasonable measures to prevent unauthorized access
  • Accept responsibility for all actions taken using your account

Google Sheets Integration

Authorization

By connecting your Google account to the Service, you:

  • Grant us permission to access your Google Sheets as specified in the OAuth consent
  • Authorize us to read, import, and process data from your Google Sheets
  • Understand that we will store connection credentials securely
  • Acknowledge that you can revoke access at any time

Your Responsibilities

You represent and warrant that:

  • You own or have permission to access the Google Sheets you connect
  • The data you import complies with all applicable laws and regulations
  • You have the right to share and process the data through our Service
  • Your use of Google Sheets complies with Google's Terms of Service

Data Accuracy

You are solely responsible for the accuracy, quality, and legality of the data you import from Google Sheets. We do not verify, validate, or guarantee the accuracy of your data.

Acceptable Use

Permitted Uses

You may use the Service to:

  • Import and process energy data from files or Google Sheets
  • Create data mappings and extraction configurations
  • Generate Sankey diagrams and stacked area charts
  • Create and share visualizations for academic and research purposes
  • Collaborate with authorized users within your organization

Prohibited Activities

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Upload or import data that infringes on intellectual property rights
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Interfere with or disrupt the Service or servers
  • Use automated scripts to access the Service without permission
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Remove or modify any proprietary notices or labels
  • Use the Service to transmit viruses, malware, or harmful code
  • Harass, abuse, or harm other users
  • Impersonate any person or entity
  • Collect or harvest personal information about other users
  • Use the Service for commercial purposes without authorization

User Content and Data

Your Content

You retain ownership of all data, files, and content you upload or import to the Service ("User Content"). By uploading or importing User Content, you grant us a limited, non-exclusive, royalty-free license to:

  • Store, process, and display your User Content
  • Generate visualizations from your data
  • Perform technical operations necessary to provide the Service
  • Create anonymized, aggregated data for research purposes

Public Sharing

When you enable public sharing for a preview:

  • The visualization and associated data become publicly accessible via a unique URL
  • Anyone with the URL can view the shared preview
  • You can disable public sharing at any time
  • You are responsible for ensuring you have the right to publicly share the data

Data Backup

While we perform regular backups, you are responsible for maintaining your own backup copies of your User Content. We are not liable for any loss or corruption of your data.

Intellectual Property Rights

Our Rights

The Service, including its design, features, functionality, and underlying code, is owned by the University of Chicago and is protected by copyright, trademark, and other intellectual property laws. The Service is licensed under the Apache License, Version 2.0.

Your Rights

You retain all rights to your User Content. The visualizations generated from your data are considered derivative works of your User Content, and you retain ownership subject to the limited license granted to us in these Terms.

Feedback

If you provide us with any feedback, suggestions, or ideas about the Service, you grant us an unrestricted, perpetual, irrevocable license to use, modify, and incorporate such feedback without compensation or attribution.

Third-Party Services

The Service integrates with third-party services, including Google Sheets. Your use of these third-party services is subject to their respective terms of service and privacy policies:

We are not responsible for the availability, content, or practices of third-party services. Your dealings with third parties are solely between you and them.

Service Availability and Modifications

Service Availability

We strive to provide reliable service, but we do not guarantee that the Service will be:

  • Available at all times without interruption
  • Error-free or secure
  • Free from viruses or harmful components

We may suspend or discontinue the Service at any time for maintenance, updates, or other reasons.

Service Modifications

We reserve the right to modify, update, or discontinue any features or functionality of the Service at any time without prior notice. We are not liable for any such modifications or discontinuations.

Disclaimer of Warranties

Please read this section carefully as it limits our liability.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING:

  • WARRANTIES OF MERCHANTABILITY
  • WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE
  • WARRANTIES OF NON-INFRINGEMENT
  • WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE

We do not warrant that:

  • The Service will meet your requirements
  • The Service will be uninterrupted, timely, secure, or error-free
  • The results obtained from using the Service will be accurate or reliable
  • The visualizations generated will be suitable for any particular purpose
  • Any errors in the Service will be corrected

Limitation of Liability

IMPORTANT LEGAL NOTICE

This section limits our liability for damages.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE UNIVERSITY OF CHICAGO, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or use
  • Loss of goodwill or reputation
  • Business interruption
  • Cost of substitute services
  • Any other intangible losses

Whether based on warranty, contract, tort (including negligence), or any other legal theory, and whether or not we have been advised of the possibility of such damages.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless the University of Chicago, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your User Content
  • Your use of Google Sheets integration
  • Any claims that your User Content infringes third-party intellectual property rights

Termination

Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature. Upon termination:

  • Your access to the Service will cease
  • Your User Content will be deleted according to our retention policy
  • Google Sheets connections will be automatically disconnected

Termination by Us

We may suspend or terminate your account and access to the Service at any time, with or without cause, with or without notice, including if:

  • You violate these Terms
  • You engage in fraudulent or illegal activities
  • Your account has been inactive for an extended period
  • We are required to do so by law
  • We discontinue the Service

Effect of Termination

Upon termination, all provisions of these Terms that by their nature should survive shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

Governing Law and Dispute Resolution

Governing Law

These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law provisions.

Dispute Resolution

Any dispute arising from or relating to these Terms or the Service shall be resolved through:

  1. Informal negotiation between the parties
  2. If unresolved, binding arbitration in Chicago, Illinois
  3. Arbitration shall be conducted under the rules of the American Arbitration Association

You waive any right to participate in a class action lawsuit or class-wide arbitration.

Venue

If arbitration is not available or applicable, you agree that any legal action shall be brought exclusively in the state or federal courts located in Cook County, Illinois.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.

Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on this page
  • Updating the "Last updated" date
  • Sending you an email notification (for material changes)

Your continued use of the Service after any changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and delete your account.
